GREEN VALLEY CYCLISTS - BYLAWS
PURPOSE
Green Valley Cyclists is a group of individuals who enjoy touring, commuting, racing, and recreational cycling in and around the Las Vegas and Henderson, Nevada areas. Our goal is to promote cycling in all its forms throughout our community for fitness and friendly competition. As a collective body we will aspire to educate the public about the benefits of cycling and serve as advocates for cycling as a transportation alternative.
ARTICLE ONE
Name: The name of this organization shall be the Green Valley Cyclists (GVC).
ARTICLE TWO
Membership: Anyone who has an interest in bicycling in any form is eligible for membership.
ARTICLE THREE
Dues: Membership dues are as specified by the Board, and may change periodically depending on GVC needs. Dues will be applied initially with application for membership, and annually thereafter.
ARTICLE FOUR
Board: GVC shall be governed by a Board of Directors (Board) consisting of a President, Vice-President, Secretary, and Treasurer (the Officers) and Five (5) Members-at-Large. The Board will meet when determined necessary by the President. Board meetings shall be open to general membership. Only Board members may vote at Board meetings.
Duties of the President include conducting General Membership and Board meetings; representing Green Valley Cyclists in legal matters; being a standing member of all Committees; appointing a temporary Board member if a Board member resigns; appointing members of good standing to non-Board positions or Committees. Along with the Treasurer, the President may also write checks on behalf of the Club. See also Article Seven.
The Vice-President serves as the President pro-tern in the absence of the President.
The Secretary' s duties involve recording and distributing the minutes of all Executive Board and General Membership meetings.
Duties of the Treasurer include management of Club finances; preparation and/or filing of all necessary tax reports or returns; receiving, disbursing and accounting for funds; providing written annual report; maintaining current with the State the GVC articles of incorporation and related documents; and auditing Committee finances.
The five (5) elected Members-at-Large assist the President and Vice-President in carrying out the duties of the Board.
The President and Board may appoint members of good standing to a variety of positions to support GVC goals (e.g., Ride Coordinators, Historian, Membership Coordinator, Webmaster, Editor, Committee chairpersons, etc.). These are non- elected, non-Board positions.
ARTICLE FIVE
Elections: Elections for Board members will be held annually. While the mechanics may vary, depending on GVC needs, elections should be timed to support annual filing with the Nevada Secretary of State.
ARTICLE SIX
General Membership Meetings: Regular meetings of the Club's general membership should be held quarterly, or as deemed appropriate by the President. Regular meetings shall include:
- Review of minutes of previous meetings.
- Treasurer's report.
- Report of Officers and Committees
- Old business.
- New business.
- Adjournment.
ARTICLE SEVEN
Committees: Committees shall be designated as needed by the President or the Board. Committees may develop their own rules of conduct and/or bylaws, as desired, provided those rules and bylaws are consistent with the GVC purpose and non-profit status. Committee rules of conduct and/or bylaws shall be approved by the Board. Committee chairpersons shall be responsible to organize and direct the activities of the Committee, make regular reports of the Committee's activities to the Board, and maintain an auditable financial record of the Committee's activities in accordance with directions of the GVC Treasurer. Consistent with the Board-approved Committee rules of conduct and/or bylaws, Committees may elect their own officers and raise and disperse funds.
ARTICLE EIGHT
Expenditures: Generally, only the President and Treasurer are authorized to commit GVC funds or sign checks. An exception to this rule is where
Committees are delegated authority to raise and disperse Committee funds by the Board, as described in Article Seven.
ARTICLE NINE
Rules of Order: Robert's Rules of Order shall govern GVC in all questions of parliamentary procedure.
ARTICLE TEN
Amendments: Any GVC member may propose amendments to the GVC Bylaws. Bylaws may be revised upon simple majority vote of the Board or two-thirds majority vote of the general membership.
